Terms of Service

Plain summary
You're 18+ and not in a sanctioned country. Mintovo is a tool. You own the tokens you mint and the consequences of minting them. We don't hold your funds. You sign every transaction. Don't impersonate real people or brands. Don't ship illegal content. We will refuse and remove violations. You pay our fees. You pay your own gas. Failed mints aren't charged. If we break something, our liability is capped at what you paid us in the last 12 months. Read the full terms below for the legally-binding version.

1. Acceptance of Terms

By accessing or using Mintovo (the "Service"), provided by , registered in Poland (the "Company", "we", "us"), you ("User", "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

You must have legal capacity to enter into a binding contract. By using the Service on behalf of an organisation, you represent that you have authority to bind that organisation.

We may update these Terms from time to time. Material changes are notified at least 30 days in advance via email and a dashboard banner. Continued use after the effective date constitutes acceptance.

2. Definitions

"Service" — the Mintovo web application, API, and related services accessible at mintovo.io.
"User" — any natural person or organisation accessing the Service.
"Token" — any SPL Token-2022 (or compatible) instrument minted via the Service.
"Mint" — the act of creating a Token on the Solana blockchain.
"Wallet" — a Solana-compatible cryptocurrency wallet controlled by the User.
"Content" — any text, image, code, or other material generated or uploaded through the Service.
"Fees" — amounts charged by the Company for use of the Service, exclusive of blockchain network fees ("gas").

3. Eligibility

You must be at least 18 years old and have legal capacity to use the Service.

The Service is not available to users in the following jurisdictions, due to regulatory restrictions or sanctions: United States of America, United Kingdom, China, North Korea, Iran, Syria, Cuba, Crimea/Donetsk/Luhansk, and Russia (under sanctions review).

Eligibility is enforced via IP geolocation, payment method country verification, and where required additional KYC checks. Attempting to circumvent these restrictions (e.g., via VPN) is a breach of these Terms.

4. Account Registration

To use most features of the Service, you must create an account. You agree to provide accurate information, maintain the security of your password and 2FA credentials, notify us at [email protected] of unauthorised access, and be responsible for all activities under your account. Two-factor authentication (TOTP) is strongly recommended.

5. Non-Custodial Service

Mintovo is a non-custodial service.

We never hold User cryptocurrency funds.
We never have access to User Wallet private keys, seed phrases, or any other authentication credentials for blockchain wallets.
All blockchain transactions originated through the Service are signed by the User in their own Wallet.

You are solely responsible for the security of your Wallet, your private keys, and any transactions you sign. Loss of access to your Wallet is your responsibility — we cannot recover funds, undo transactions, or access your Wallet.

6. Token Creation Responsibility

Tokens minted via the Service are created by you, not by Mintovo. You own them. You are solely liable for the legal, regulatory, and financial consequences of creating, distributing, or marketing any Token. The Service does not constitute investment, financial, legal, or tax advice. We strongly recommend consulting qualified legal counsel before minting any Token intended for public distribution.

7. Prohibited Content

You may not use the Service to create or distribute Tokens or Content that impersonate real persons or brands without authorisation, promote hatred or terrorism, constitute CSAM or sexually explicit content involving minors, violate IP rights, constitute fraud or pump-and-dump schemes, violate sanctions, or promote illegal goods or services.

We reserve the right to refuse to mint, refuse service, suspend accounts, and remove Content that violates these Terms, with or without prior notice. Repeat or egregious violations result in permanent account termination.

8. Fees and Payment

Fees are described on the Pricing page — Subscription Fees, Pay-per-use Fees, and Add-on Fees. Fees do not include blockchain network gas (paid directly from your Wallet).

Payment is processed by Paddle.com Market Limited ("Paddle"), our Merchant of Record. Paddle handles VAT for EU customers. Crypto payments (USDC or SOL on Solana) get a 15% discount on subscription Fees. Refund policy: 14-day right of withdrawal under EU consumer law for subscriptions; failed mints due to Service issues refunded; user-cancelled signatures not charged.

9. Intellectual Property

The Mintovo brand, software, and platform are our IP. You retain rights to Content you provide; you grant us a limited licence to use it solely to provide the Service. AI-generated Content belongs to you, subject to underlying AI provider terms. Tokens minted via the Service belong to you.

10. Service Availability

Provided on a best-effort basis. No specific uptime SLA in the MVP launch period. We may schedule maintenance windows with reasonable advance notice. We reserve the right to modify, suspend, or discontinue any part of the Service.

11. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE", without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that Tokens minted will achieve any particular value or trading outcome. Cryptocurrency carries inherent risk; you assume all such risks.

12. Limitation of Liability

To the maximum extent permitted by applicable law, the Company's aggregate liability arising out of or related to these Terms or the Service is limited to the total Fees paid by you in the 12 months preceding the event giving rise to the claim.

This limitation does not apply to liability for fraud, gross negligence, wilful misconduct, or any other liability that cannot be excluded under applicable law (including, where applicable, EU consumer protection law).

13. Indemnification

You agree to indemnify and hold harmless the Company, its officers, directors, employees, and agents from any claim, demand, loss, or damage arising from your breach of these Terms, Tokens you create, your Content, or your violation of any third-party right or applicable law.

14. Termination

You may terminate your account at any time. We may suspend or terminate access for breach of Terms, prohibited content, non-payment, or legal requirement. Upon termination, your access ceases immediately. Tokens you have minted remain on the Solana blockchain.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Poland, excluding conflict-of-law provisions. Disputes are resolved by good-faith negotiation, then by binding arbitration under the rules of the Court of Arbitration at the Polish Chamber of Commerce in Warsaw, conducted in English. EU consumers retain the right to bring proceedings in the courts of their member state of residence.

16. Changes to Terms

For material changes, we notify via email at least 30 days before the effective date and display a prominent dashboard notice. The "Last updated" date at the top of this document is also updated.
